Legal framework and documentation

Structure, terms of participation, documentation, compliance and risks under the current framework.

01

Legal structure

APEX operates through an international structure made up of a Limited Partnership established in Ontario, Canada, and a General Partner established in Nevis.

The corporate structure and the relationship with each partner are governed by the legal and contractual documentation in effect.

02

Nature of the investment vehicle

Joining APEX is formalized through the applicable contractual documentation, together with the corresponding identification processes and checks.

The terms of participation are governed by that documentation and by the legal framework applicable in each jurisdiction.

03

Applicable jurisdiction

The relationship between APEX and each partner is governed by the jurisdiction and provisions set out in the legal and contractual documentation in effect.

That documentation determines the applicable legal framework, as well as the rights and obligations of the parties.

04

Regulatory limitations

The availability of APEX and the conditions under which it may be presented or communicated may vary depending on the jurisdiction and the applicable legal framework.

For this reason, each partner's admission is subject to the regulatory conditions, the corresponding checks and the documentation in effect.

All investing involves risk. Automation and risk management mechanisms seek to apply rules and controls consistently, but they do not eliminate the possibility of losses or adverse periods.

05

Contractual relationship

Participation is formalized through the applicable documentation, which includes the Limited Partnership Agreement (LPA), the Subscription Agreement and any applicable supplementary corporate documentation.

The terms of participation and the rights and obligations of the parties are set out in the contractual documentation in effect.

APEX's economic model sets a 50/50 split of the profits for each close: 50% for the investing partner and 50% for management. The arrangement includes a High-Water Mark, so that no new distribution is applied to the recovery of previous losses.

Closes are quarterly. At each applicable close, partners can choose to withdraw capital and profit, withdraw only the profit, or continue.
